Customer Terms of Service

These Terms of Service (“Terms”) govern your use of the booking and reservation services provided by Prixat Inc. (“Prixat,” “we,” “us”) on behalf of participating restaurants (“Restaurants”). By making a reservation, requesting a quote, or paying a deposit, you agree to these Terms.

1. What Prixat is

Prixat operates a booking platform that lets you reserve tables and book private events at participating Restaurants. The Restaurant — not Prixat — provides the dining, event, food, beverage, and venue services. Prixat facilitates the booking and collects payment on the Restaurant’s behalf as its limited payment-collection agent.

2. Reservations and private events

Reservations are free table bookings, subject to the Restaurant’s availability, party-size limits, and policies.

Private events are deposit-secured bookings that may include menus, spaces, bar, and décor, priced as an itemized quote.

All prices shown are the total price you pay; applicable taxes and service charges are included or itemized at checkout.

3. Your quote and pricing

Your itemized quote shows the components of your price: menu selections, room or space fee, any applicable discounts, the Restaurant’s service charge, applicable tax, and a separate card-processing fee. The displayed prices are all-in — no mandatory fee appears for the first time at checkout.

4. Deposits (non-refundable)

To secure a private event you pay a deposit. The deposit is non-refundable except as required by applicable law or as expressly stated in the Restaurant’s cancellation policy presented to you at checkout. The deposit is applied toward your total event price; the remaining balance is due as stated by the Restaurant (typically at the venue on the event date).

5. Changes and cancellations

Each Restaurant sets its own change and cancellation policy, which is presented to you before payment and forms part of these Terms for your booking. Changes that affect price are re-quoted and the difference may be charged or credited per that policy.

6. Payments

Payments are processed by our payment provider (Stripe). Prixat collects the full amount, remits the Restaurant’s portion to the Restaurant, and retains its fee. The Restaurant is the merchant/seller of record for your booking. You authorize the charge(s) described at checkout, including any agreed balance, added-guest, or no-show charges permitted by the Restaurant’s policy you accepted.

7. Managing your booking

You can manage your booking via the secure magic link sent to your email. Keep that link confidential; anyone with it can view and manage the booking.

8. Your conduct

You agree to provide accurate information and not to misuse the platform. The Restaurant may decline or cancel bookings consistent with its policies and the law.

9. Disclaimers

The platform is provided “as is.” Prixat does not control and is not responsible for the food, service, safety, or conduct of any Restaurant. To the maximum extent permitted by law, Prixat disclaims all implied warranties.

10. Limitation of liability

To the maximum extent permitted by law, Prixat’s total liability arising out of or relating to these Terms or your use of the platform will not exceed the total fees Prixat earned on your booking. Prixat is not liable for indirect, incidental, or consequential damages.

11. Indemnification

You agree to indemnify Prixat against claims arising from your breach of these Terms or misuse of the platform.

12. Dispute resolution; binding arbitration; class-action waiver

PLEASE READ — THIS AFFECTS YOUR LEGAL RIGHTS.

Binding individual arbitration. Except as stated below, any dispute, claim, or controversy arising out of or relating to these Terms or the services will be resolved by binding arbitration under the applicable consumer arbitration rules, rather than in court. The Federal Arbitration Act governs this section.

Small-claims carve-out. Either party may instead bring an individual claim in small-claims court if it qualifies.

Jury-trial waiver. You and Prixat waive any right to a jury trial.

Class-action waiver. Disputes must be brought in an individual capacity only — not as a plaintiff or class member in any class, collective, consolidated, or representative action.

30-day opt-out. You may opt out of this arbitration agreement by emailing hello@prixat.com within 30 days of first accepting these Terms, stating your name and intent to opt out.

Severability. If the class-action waiver is found unenforceable as to any claim, that claim (and only that claim) will proceed in court; the rest of this section survives.

13. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules.

14. Changes to these Terms

We may update these Terms; the “Last updated” date reflects the current version. We capture the version, timestamp, and IP at the time you accept.
