Prixat Booking Terms

When you book an event through Prixat, these terms govern your booking. Your contract for the event itself is with the restaurant you select; Prixat provides the booking technology and payment facilitation.
1. Who you are contracting with
Prixat, Inc. (“Prixat,” “we”) operates a booking and payment platform. When you book an event, your contract for the event itself — including food, beverages, space, and services — is with the restaurant you selected (“Restaurant”), not with Prixat. Prixat provides the booking technology, generates your quote, and facilitates payment processing. The Restaurant is solely responsible for providing your event.
2. Your quote and pricing
Your itemized quote shows every component of your price: menu selections, room or space fee, any applicable discounts, the Restaurant’s service charge, applicable tax, and the Prixat booking fee. The booking fee compensates Prixat for providing the booking, quoting, and reservation-management services, and is shown to you before you pay. No mandatory fee will appear for the first time at checkout.
3. Deposit
To confirm your reservation, you pay a deposit (the percentage and any minimum are set by the Restaurant and shown in your quote). Your deposit is applied toward your event total and is subject to the Restaurant’s cancellation policy displayed at booking (see Cancellations and changes). The remaining balance is due as shown in your booking summary, payable through the platform or directly at the Restaurant.
5. Cancellations and changes
If you cancel: your deposit is handled per the Restaurant’s tiered cancellation policy displayed before you paid (for example: full refund 60+ days before the event; 50% refund 30–59 days; no refund under 30 days — each Restaurant’s actual schedule is shown at booking). The retained amount reflects the parties’ reasonable estimate of the Restaurant’s losses from holding and releasing your date — losses that are impracticable to calculate precisely at booking (turned-away bookings, planning, procurement).
If the Restaurant cancels or cannot provide your event: your deposit is refunded in full.
Force majeure: if the event cannot lawfully or safely occur due to causes beyond both parties’ control (e.g., government order, natural disaster), your deposit is refunded.
Changes: guest count and event changes follow the Restaurant’s change policy shown at booking. Price-affecting changes are re-quoted and the difference charged or refunded.
New York City venues: for events at NYC restaurants, cancellation charges comply with NYC Consumer Protection rules (6 RCNY § 5-63), including limits that apply when the Restaurant is able to re-book your date.
6. Your responsibilities
You confirm the information you provide is accurate; you are 18+ and authorized to use the payment method; you and your guests will comply with the Restaurant’s venue rules and applicable law. You are responsible for communicating dietary or accessibility needs in your booking notes.
7. Prixat’s role; disclaimers
Prixat is not a restaurant, caterer, or event operator. To the fullest extent permitted by law, Prixat is not responsible for the Restaurant’s performance or non-performance, food quality or safety, venue conditions, or the acts or omissions of the Restaurant, its staff, or event attendees. The platform is provided “as is” without warranties of any kind, express or implied.
8. Limitation of liability
To the fullest extent permitted by law: (a) Prixat’s total aggregate liability arising from or relating to your booking or use of the platform shall not exceed the greater of the booking fee you paid Prixat or $100; and (b) Prixat shall not be liable for indirect, incidental, special, consequential, or exemplary damages. Some jurisdictions do not allow certain limitations; in those jurisdictions, these limits apply to the maximum extent permitted.
9. Disputes; governing law
These Terms are governed by the law of the State of New York, without regard to conflicts rules, except where the law of your state of residence mandatorily applies. Any disputes arising from or relating to your booking will be resolved as provided in these Terms.
10. Communications
You consent to receive transactional messages (confirmations, receipts, reservation management) at the contact details provided. Marketing emails include one-click unsubscribe and comply with CAN-SPAM. See the Privacy Policy for data practices.
11. Miscellaneous
These Terms plus your booking summary and the Restaurant’s displayed policies form the entire agreement for your booking. If any provision is unenforceable, the remainder stands. Prixat may update these Terms prospectively; your booking is governed by the version you accepted (recorded with timestamp).
